The following terms and conditions have been tailored to protect both the client and designer/consultant:

Rights:
All products and services provided by the designer shall be for the exclusive use of the client other than for the designer’s promotional use. Upon payment of all fees and expenses, the client will be gain full transferable rights to brand identity and full license to reproduce works through commercial printers.

Ownership:
The client will gain full ownership of all artwork created during the project upon payment of the full invoice. The designer will provide original files in Adobe Illustrator (.ai), Photoshop (.psd) or InDesign (.indd) formats along with Encapsulated PostScript (.eps). Other file types (.gif, .png, .jpg, etc.) can be provided upon request.

Samples:
The client shall provide the designer with samples of printed designs for promotional purposes. The designer shall also have the right to photograph all completed designs to use for promotional purposes.

Third Party Contracts:
The designer may contract with other creative professionals to provide services such as web development, photography, and illustration. Any third party terms and conditions will include full reproduction rights for the client. Where such contracting adds to the project cost, the client will first be asked for permission to proceed. No project will commence on the assumption that third parties might be required for project completion. Such details will be finalised prior to project commencement, unless requested by the client at a later date.

Communication:
The designer can be reached by telephone on Monday to Thursday from 4pm to 9pm CST, Fridays from 10am to 4pm and Saturdays from Noon to 4 p.m. Skype chat is available at username: jvana03. The majority of communication will be done through email, to provide both client and designer with written documentation of requirements and changes.

Payment:
The client is required to pay 50% of invoiced price prior to work commencing. The downpayment is non-refundable. The remaining 50% due upon completion of the project. Original artwork will be sent to the client only after the full invoice amount has been paid.

Late payment:
A “late payment fee” of 5% will be applied to all invoice amounts not paid within 30 days. An additional 5% will be added for each recurring 30 day period until the full amount has been received.

Cancellation:
If after commencement the project is canceled, the client forfeits initial payment and ownership of all copyright, original artwork and files provided by the designer. Furthermore, if client communication stops for a period of 180 days, the project can be cancelled, in writing by the designer, and ownership of all copyrights shall be retained by the designer. The client will be billed for all additional labor and expenses to date, along with a cancellation fee that will not exceed 110% of project cost.

Confidentiality:
The client shall inform the designer in writing before the project commences if any portion of any material or information provided by the client or if any portion of the project is confidential.

Indemnity:
The client agrees to indemnify and hold harmless the designer from any and all claims, demands, losses, causes of action, damage, lawsuits, judgments, including attorneys’ fees and costs, but only to the extent caused by, arising out of, the work supplied by the designer.

Acceptance:
A document containing the above terms and conditions will be supplied via email along with the first invoice. Acceptance should be stated in an email reply and will be kept on file at the designer’s office.
